Terms of Service

Plain-English summary: These terms cover what you can expect from us and what we expect from you. If you hire us, we deliver a website that meets what we agreed to build. You pay on the agreed schedule. You own what we deliver. We don't guarantee specific business results (we're not magic). If there's a dispute, we try to work it out directly first.

1. Agreement

By using getproactivedigital.com or hiring Proactive Digital for services, you agree to these Terms. If you don't agree, please don't use the site or hire us.

Proactive Digital is operated by Todd Blackwell Jr. under TRB Family Business, based in Chesterfield, Virginia. References to "we," "us," or "our" mean Proactive Digital. "You" means the visitor or client.

2. Services we offer

We design and build websites for small businesses, including:

Specific scope, timeline, and deliverables for any project are defined in a separate written proposal or agreement between us and you.

3. Pricing and payment

Our package pricing is displayed on the website. For custom projects, you receive a written quote before work begins. We offer three ways to pay, so you can choose what fits your cash flow:

Option 1: $99 Down

Get started for $99. The remaining balance is split across project milestones, typically at draft approval and at final delivery. Best for smaller businesses who want to move forward without fronting a large deposit. Available on Starter and Growth packages.

Option 2: 50% Deposit

Half upfront, half on completion. Standard two-payment structure. Best for clients who prefer a simple pay-on-delivery arrangement. Available on all packages.

Option 3: Milestone Payment Plan

An initial deposit followed by the remainder split across 2–3 installments tied to project milestones (deposit → draft approval → launch). Best for larger projects or clients who prefer smaller regular payments. Available on all packages.

Payment terms (regardless of option)

If you cancel the project after work has started, you are responsible for payment for work completed up to that point.

4. What you provide

For us to deliver on time and on budget, you agree to:

5. Revisions and scope

Each project includes a defined number of revision rounds, specified in your proposal. Additional changes beyond that scope are billed at our hourly rate or quoted separately before work begins.

"Scope creep" (significant additions or changes to the project after work has begun) will be addressed with a change order and may affect price and timeline.

6. Ownership and rights

What you own: Upon final payment, you own the final delivered website (the design, code, and content) and can use it however you'd like. You can transfer it, migrate it, or hire anyone else to work on it.

We build high-quality websites that are designed to convert. We don't guarantee:

Business results depend on many factors outside our control: your offer, your market, your follow-up process, and ongoing marketing. We do our part; the rest is up to you.

9. Third-party services

Your site may integrate with third-party services (payment processors, scheduling tools, email platforms, analytics, hosting, etc.). Those services have their own terms and policies. We're not responsible for their availability, pricing changes, or any data they handle.

10. Limitation of liability

To the maximum extent allowed by law, our total liability for any claim related to our services is limited to the amount you paid us for the specific project in question. We're not liable for indirect, incidental, or consequential damages, including lost profits or data.

Nothing in these Terms limits liability for anything that can't be legally excluded, including gross negligence, willful misconduct, fraud, or personal injury.

11. Termination

Either party can end the working relationship in writing. If you terminate after work has begun, you're responsible for payment for work completed. If we terminate (for example, due to non-payment or client conduct that makes the project unworkable), we'll provide reasonable notice and work completed through that point remains payable.

12. Confidentiality

We treat all client information (business plans, strategy, credentials, internal discussions) as confidential. We don't share it with anyone outside our work on your project. This applies both during and after our working relationship.

13. Governing law

These Terms are governed by the laws of the Commonwealth of Virginia, United States. Any disputes will first be addressed through direct communication. If that fails, disputes will be resolved in the appropriate courts of Virginia.

14. Changes to these terms

We may update these Terms occasionally. The "Last updated" date at the top reflects the most recent change. For active clients, material changes will be communicated directly. Continued use of the site or services after changes means you accept them.
